1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ventival Inc. ("Ventival," "we," "our," or "us") governing your access to and use of the Ventival platform, including our website, mobile applications, APIs, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Platform under applicable laws
• Provide accurate, current, and complete registration information

If you are using the Platform on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. The Platform

Ventival is an event ecosystem platform that connects Hosts, Organizers, Vendors, and Guests. The Platform provides tools for event planning, vendor discovery and booking, ticket sales, guest management, and QR-based event check-in.

3.1 Hosts

Hosts use the Platform to plan private celebrations (weddings, birthdays, private parties, etc.), discover and book vendors, create event websites, manage guest lists, and facilitate QR check-in at the gate.

3.2 Organizers

Organizers use the Platform to list public events (concerts, festivals, comedy shows, etc.) on our marketplace, sell tickets in multiple tiers, and manage attendee access with secure QR codes.

3.3 Vendors

Vendors use the Platform to create business profiles, showcase their services (catering, decoration, DJ, photography, etc.), receive bookings from hosts and organizers, and get paid directly through the Platform.

3.4 Guests & Fans

Guests and fans use the Platform to RSVP to events, purchase tickets, receive QR codes (via WhatsApp or email), and check in at events.

4. User Accounts

• Registration: You must create an account to access most features of the Platform. You agree to provide accurate and complete information during registration and to keep your account information up to date.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
• One Account per Person: Each individual may maintain only one personal account. Vendors may create a separate business profile linked to their personal account.
• Account Termination: We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Payments & Transactions

5.1 Direct Payments

Ventival facilitates payments between users but does not hold funds or operate as a wallet. All payments move directly between the parties in a transaction through our third-party payment processors. This means:

• When a host books a vendor, payment flows directly from the host to the vendor
• When a fan purchases a ticket, payment flows directly from the fan to the organizer
• Ventival charges a service fee on applicable transactions

5.2 Service Fees

Ventival charges a service fee for facilitating transactions on the Platform. The applicable fees will be clearly disclosed before you complete any transaction. Fees are non-refundable unless otherwise stated.

5.3 Held Settlement (Buyer Protection)

For ticket purchases, Ventival may implement a held-settlement mechanism where funds are held by the payment processor (not Ventival) until the event has taken place. This protects buyers in case of event cancellation or fraud.

5.4 Refunds & Cancellations

Refund policies vary depending on the type of transaction:

• Vendor Bookings: Refund terms are governed by the cancellation policy set by each vendor. Hosts should review vendor policies before booking.
• Ticket Purchases: Refunds for cancelled events will be processed automatically. For refund requests on events that proceed as scheduled, the organizer's refund policy applies.
• Platform Fees: Service fees charged by Ventival are non-refundable.

6. Vendor Terms

• Verification: Vendors may be required to complete a verification process before listing services on the Platform. This may include identity verification, business registration, and portfolio review.
• Accurate Listings: Vendors must ensure that all service descriptions, pricing, availability, and portfolio content are accurate and up to date.
• Service Delivery: Vendors are solely responsible for delivering services as described and agreed upon with the host or organizer.
• Reviews: Vendors agree to receive reviews from users who have completed bookings. Reviews must be based on genuine experiences. Ventival reserves the right to remove reviews that violate our guidelines.
• Boosted Listings: Vendors may purchase boosted visibility for their profiles. Boosted listings will be clearly marked as promoted content.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Create fraudulent events, listings, or accounts
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the Platform's infrastructure or security
• Scrape, harvest, or collect data from the Platform without authorization
• Post or transmit harmful content, including viruses, spam, or hateful material
• Circumvent the Platform's payment system to avoid service fees
• Manipulate reviews, ratings, or search results
• Use the Platform to facilitate money laundering or terrorist financing
• Resell tickets purchased on the Platform at inflated prices without authorization

8. Intellectual Property

8.1 Ventival's IP

The Platform, including its design, features, content, branding, logos, and underlying technology, is the property of Ventival Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Platform without our prior written consent.

8.2 User Content

You retain ownership of content you upload to the Platform (event descriptions, images, vendor portfolios, reviews, etc.). By uploading content, you grant Ventival a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely in connection with operating and promoting the Platform.

9. Disclaimers

• Platform Role: Ventival is a technology platform that connects users. We are not an event planner, vendor, ticket seller, or venue. We do not guarantee the quality, safety, or legality of events, services, or items listed on the Platform.
• "As Is" Basis: The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Third-Party Services: The Platform may integrate with third-party services (payment processors, messaging platforms, etc.). We are not responsible for the performance or policies of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, Ventival shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the total amount of fees you paid to Ventival in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ventival Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any rights of a third party.

12. Dispute Resolution

12.1 Between Users

Ventival encourages users to resolve disputes directly. If a dispute arises between a host and vendor, or between a buyer and organizer, the parties should first attempt to resolve the matter through our in-platform dispute resolution tools. Ventival may, at its discretion, mediate disputes but is not obligated to do so.

12.2 Between You and Ventival

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in Nigeria, unless otherwise required by law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal proceedings shall be conducted in the courts of Lagos, Nigeria, unless otherwise required by applicable law.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
